Italy Investor Visa for US investors: ownership, tax and family decisions
MFG Consultants · Updated 4 November 2026
For a US investor, an Italian residence plan involves three connected decisions: the investment you will own, the permission you want to obtain and the tax obligations that follow you. A useful first assessment puts those decisions together before you subscribe. Your intended time in Italy, family circumstances and access to capital should shape the discussion from the beginning.
Which investment routes does MFG focus on?
MFG focuses on the €250,000 route into a qualifying registered innovative startup and the €500,000 route into a qualifying Italian company. These are minimum qualifying investment amounts; professional fees, administration and relocation costs require a separate budget. The lower entry amount should be weighed against the particular business, your exposure and your ability to leave the money invested. A technology label alone does not establish startup eligibility.

What will I actually own?
Ask for the issuer's legal name, the instrument, ownership structure and documents recording your rights. Direct company shares, an interest in an intermediary and a fund subscription require different analysis; Italian exposure by itself does not establish eligibility. Your Italian advisers should confirm the proposed structure against the current rules. Then examine voting rights, distributions, custody, dilution and sale restrictions. The visa label cannot answer those investment questions.

Could the investment create a PFIC issue?
Potentially. Under the US rules, a foreign corporation may be a passive foreign investment company if at least 75% of its gross income is passive, or at least 50% of its assets produce, or are held to produce, passive income, subject to detailed measurement rules. The actual entity and its financial position matter. Neither the word 'startup' nor immigration eligibility establishes a favourable US tax classification. Ask your US tax adviser to assess the proposed holding.

What should my US CPA receive before I subscribe?
Provide the subscription documents, legal structure, financial statements, proposed ownership and available annual reporting. Ask whether Form 8621 or other reporting applies and whether any relevant election is available and appropriate. A qualified electing fund election, for example, depends on the required information being available. Obtain clarity on who supplies that information, when and at what cost. A salesperson's general statement that a product is suitable for Americans cannot replace this assessment.

Does Italian residence change my US tax obligations?
US citizens and resident aliens generally remain subject to US taxation on worldwide income while living abroad. Italian tax residence requires its own assessment of the applicable residence, personal and family ties, and physical presence tests. Coordinate the two analyses before choosing a moving date or making distributions. An Italian immigration permit and an election into an Italian tax regime are separate matters; neither establishes your total tax outcome across both countries.

Where do I apply, and which documents cause delays?
Consular jurisdiction normally follows your established place of residence. A US passport does not mean that any Italian consulate in the United States can handle your application. Check jurisdiction, appointments and the current document list early. Prepare a traceable source-of-funds history and review criminal-record requirements across the countries where you have lived. Translation, legalisation and bank-document requirements should be mapped before filing; the consulate may request further evidence.

When does the investment have to be made?
The application requires evidence of available, transferable funds and a defined investment commitment. Investments made before submitting the Nulla Osta application do not count under the published procedure. After approval and visa issuance, entry into Italy starts the three-month investment deadline. The residence-permit application is due within eight working days of entry. Plan the bank transfer, subscription and evidence together so that operational delays do not consume that window.

Can my spouse and adult children join me?
Assess each family member separately. A spouse and minor children may qualify subject to the applicable conditions. A financially dependent adult child does not qualify simply because they are at university; the relevant adult-child category has a total-disability condition. Accompanying-family procedures and later family reunification also have different requirements. Ask Italian counsel to confirm the suitable procedure and timing before making school, housing or travel commitments for the whole family.

What should I decide about renewal and exit now?
The initial investor permit lasts two years; renewal can be for a further three years where the conditions remain satisfied, including maintaining the investment. This does not create a contractual repayment date. Ask how an eventual sale would affect your residence strategy, which records establish continued ownership, and whether the investment's realistic exit horizon suits your finances. Keep the immigration plan and the investment's commercial terms in the same decision file.

MFG coordinates investment and residence planning with qualified local professionals. Bring your intended ownership structure, family outline and existing US tax adviser's questions to the first discussion. That makes it possible to identify the decisions requiring specialist review before you commit capital. Capital is at risk; approval and investment returns are not guaranteed.
